What is a Binding Class Ruling (BCR) under B-BBEE?

A Binding Class Ruling (BCR) under B-BBEE is a ruling issued by the South African Revenue Service (SARS) that provides clarity on the tax implications of certain transactions related to Broad-Based Black Economic Empowerment (B-BBEE). These rulings are binding between SARS and the applicant, any co-applicant(s), and the class members.


For instance, BCR 072 is a ruling that determines the deductibility of contributions by employer companies to fund an employees’ trust. This enables the trust to participate as a part shareholder of a newly established black-owned and controlled property entity (B-BBEE company).


The ruling also confirms that the advance of an interest-free loan by the listed holding company of the applicant and class members to a managers’ trust destined to hold a percentage of the B-BBEE company, would not constitute a taxable benefit.


However, the deductibility of BBBEE expenditure remains uncertain, and should be carefully considered on a case-by-case basis. It is recommended to consult with a tax professional or legal advisor to understand the specific circumstances and potential tax implications.
